Terms of Service.
These Terms govern the design and development services provided by Decato Studio (“we”, “us”, “our”) to the client (“you”, “your”). Accepting a project proposal or engaging our services constitutes agreement to these terms.
[1] Our Services
We are a multi-disciplinary creative studio specialising in brand identity, graphic design and digital experiences. Our capabilities include, but are not limited to, the provisions below:
Design & Creative Services: Visual Identity, Logo & Branding, Strategy, Brand Collateral, Typography, Creative Direction, Poster Design, Brochures/Leaflets, Stationary, Hoarding/Display Boards, Digital Ads, Digital Art, Conceptual design, Album Artwork and Downloadable Design assets. If you require a creative service not explicitly listed here, please get in touch to discuss how we can help bring your project to life.
Website Design & Development: We design bespoke websites and digital experiences within Figma and build them using Framer. We also design and build WordPress websites, which are executed in collaboration with our trusted development partners.
[2] Project Timelines & Client Input
Asset Delivery: You must provide all required copy, assets, high-resolution imagery and technical logins promptly.
Delays: Delays in your assets or feedback will push back the launch or delivery date of any project. Significant stalls will result in project suspension and a rescheduling fee to secure a new studio slot.
[3] Scope & Revisions
Project Scope: Deliverables and revision rounds are strictly limited to what is specified in your individual proposal at the start of the project.
Scope Creep: Extra assets, features, pages and/or creative pivots requested mid-project will be quoted and billed separately.
Reversals: Requesting changes to designs or layouts already signed off will incur additional fees.
[4] Payment Terms
Deposit: A 50% non-refundable fee is required to secure your booking before work begins.
Final Balance: The remaining 50% balance is due immediately upon project completion.
Withholding Delivery: We do not transfer final production-ready files, launch websites or assets until full payment has cleared.
Overdue Invoices: Late payments will result in the immediate suspension of work and may incur penalties.
[5] Intellectual Property & Portfolio Rights
Ownership: Decato Studio retains legal ownership of all concepts and source files until the final invoice is paid. Rights transfer to you upon full payment.
Portfolio Display: We reserve the right to feature completed projects, accepted / rejected concepts and case studies in our marketing and portfolio. If confidentiality is required, an NDA must be signed before the project starts.
[6] Cancellation Policy
If you cancel the project after work has commenced, a pro-rata Exit Fee will be calculated based on the studio time invested up to that date.
This fee will not exceed the remaining project value.
The initial 50% deposit remains strictly non-refundable.
[7] Post-Handover & Liability
Support: Post-handover, we are not responsible for platform updates, user errors, broken links, or third-party glitches. Ongoing support requires a separate maintenance agreement.
Compatibility: We build and design to current industry standards but do not warrant that third-party software will remain error-free or display identically across legacy browsers and devices.
Liability: Decato Studio is not liable for any financial loss, downtime, or business interruption arising from the use of our deliverables.
[8] Retainer Agreements
If you engage DecatoStudio on a recurring monthly retainer, the following terms apply:
Studio Capacity & Pricing: Retainer fees secure reserved studio availability, priority scheduling and dedicated creative support for your business each month. Our pricing reflects the strategic value, output and efficiency of our work, rather than an itemised minute by minute timecard. Stated retainer hours are used to block out that time during any given month. Unused studio capacity within a billing cycle does not roll over to subsequent months and does not entitle you to refunds or task credit.
Overages: If requests exceed your allocated monthly capacity, additional work will be billed at our standard hourly rate. We will notify you and request your written approval before carrying out any overage work.
Payment Terms: Retainer fees are invoiced and payable in advance of each monthly billing cycle. Work for the upcoming month will commence only upon receipt of full payment.
Scope of Work: Retainer hours may be used for any design work, content updates, meetings or client communications, as outlined in your specific retainer proposal (Unless stated otherwise and/or the task exceeds monthly retainer hours).
Scheduling & Turnaround: While retainer clients receive priority scheduling, tasks must still be submitted with reasonable notice. Urgent or tight turnaround requests are subject to studio availability and may incur expedited fees.
Cancellation & Changes: Either party may cancel or modify a retainer agreement by providing 30 days’ written notice prior to the start of the next billing cycle.
[9] Governing Law
These terms are governed by and in accordance with the laws of England and Wales. We reserve the right to update these terms at any time.
